Terms of Use
The agreement between you and SkillDrift covering this website and the Career Launchpad platform your institution deploys. Section 2 says which parts apply to you.
These Terms of Use are a legal agreement between you and SkillDrift Inc, a Delaware corporation with its office at 4 Calvert Street, Newport, Rhode Island 02840, United States ("SkillDrift", "we", "us", "our").
They govern your use of the website at www.skilldrift.org and of the SkillDrift Career Launchpad platform made available to you by an educational or career institution.
Please read section 2 first. It explains which parts of this document apply to you, because two very different kinds of people read it.
About us and about this product
SkillDrift is a global company. It is incorporated in Delaware, United States, with an office in Newport, Rhode Island, and further offices in Singapore and Kolkata, India.
SkillDrift Career Launchpad is a career development platform that an institution deploys for its students, together with an administrative control room that the institution runs it from. It is a separate product from the consumer SkillDrift platform at www.skilldrift.ai, with a separate database and a separate user base. These Terms cover Career Launchpad and this website only. The consumer platform has its own terms, and nothing in this document applies to it.
Career Launchpad is not a resume builder, not an assessment platform and not a skills test. The assessment is one early step in a career development platform.
Which parts of these Terms apply to you
If you are a visitor to www.skilldrift.org, sections 1, 3, 5, 13 to 16 and 19 to 27 apply to you.
If you are a student or other individual given access by an institution, all sections apply, together with any rules your institution sets.
If you are an administrator or member of staff at an institution, all sections apply, together with the software usage agreement between us and your institution.
If you are an institution entering into an agreement with us, all sections apply, subject to the order of precedence in section 6.
No self signup, for anyone
There is no self signup for SkillDrift Career Launchpad.
No individual, including a student, can create an account for themselves. There is no registration form, no free trial for individuals and no route in that does not run through an institution. Access is provisioned by an institution inside its own environment, and only an institution can create, suspend or remove a user in that environment.
If you want a Career Launchpad account, ask your institution. If your institution has not deployed the platform, we cannot give you access, and we will not create one on request.
This is deliberate. It is what keeps each institution's environment separate, and it is why the data rules in section 10 and in our Data Protection document can be enforced at all.
Eligibility and age
You may use the platform only if your institution has provisioned an account for you and you are old enough to use it under the law of the country you are in.
We do not set a single minimum age, because the age of digital consent differs between countries. Where an institution provisions users below the age of digital consent under applicable law, the institution is responsible for obtaining any consent or authorisation that law requires before it does so, and for telling us if any such user is in the deployment.
Using this website
You may read this website, download material we publish for that purpose, and book a demonstration through the booking page.
You may not scrape, crawl at a rate that degrades the service, copy substantial parts of the site for a competing product, misrepresent your identity when booking, or use any part of the site to send unsolicited communications.
Booking a demonstration means giving us your name, email address, organisation and role. We use that information to arrange and hold the meeting and to follow up on it. Our Privacy Policy explains the rest.
The software usage agreement, and what wins when documents disagree
Every deployment is governed by a written agreement between SkillDrift and the institution, made up of an order form and the software usage agreement it references, together with our data processing agreement where it is signed or incorporated.
Where documents conflict, they are read in this order:
- The order form signed by the institution.
- The data processing agreement in force between us and the institution.
- The software usage agreement.
- These Terms of Use.
For an individual user, these Terms of Use apply in full, except where the software usage agreement gives that individual something better. Nothing an institution agrees with us can reduce a right you have under applicable data protection law.
Accounts, credentials and security
Your account is personal to you. Do not share your credentials, do not let anyone else use your account, and do not use anyone else's.
Where your institution uses single sign on, your access follows the credentials your institution issues, and your institution controls them.
Tell your institution, and tell us at legal@skilldrift.ai, as soon as you believe an account has been accessed by someone who should not have it.
Administrative permissions are granted by the institution and are enforced by the platform. Do not attempt to act beyond the permissions you have been given, whether or not the interface appears to allow it.
Acceptable use
You agree not to:
- Upload anything unlawful, or anything you do not have the right to upload.
- Upload another person's personal information, other than a referee or contact whose details you are entitled to provide, and only where your institution's rules allow it.
- Misrepresent your qualifications, experience or identity in a profile, resume, assessment response or interview session.
- Attempt to reverse engineer, decompile or otherwise derive the workings of the platform, including how any score is calculated.
- Probe, scan or test the security of the platform, or attempt to bypass any access control, rate limit or entitlement, except under a written security testing arrangement with us.
- Use any automated means to complete an assessment, an interview session or a knowledge check on your own behalf or on behalf of another person.
- Use the platform to build, train or evaluate a competing product or model, or to benchmark it for publication, without our written consent.
- Resell, sublicense or otherwise make the platform available to anyone outside the institution's deployment.
- Interfere with the platform's operation or with any other user's use of it.
Completing an assessment on someone else's behalf, or having someone complete yours, is the conduct most likely to end an individual account, because it corrupts the measurement the institution relies on.
What the platform does, and what it does not promise
The platform measures, explains and helps you act. It does not place you in a job.
To be plain about it:
- We do not guarantee employment, an interview, a placement, an internship, an offer, a salary level or any other career outcome.
- We do not guarantee that any job shown to you is available, accurate or lawful. Openings drawn from external sources are presented as we receive them, as a point in time picture, not as a live feed and not as a warranty.
- Scores, matches, reports, coaching feedback, learning plans, resumes and cover letters are produced to support your judgement, and yours remains the judgement that counts. Check anything you intend to rely on, and check anything you intend to send to an employer.
- Different measures on the platform use different scales. The Career Readiness Score is expressed out of 100. A job match is expressed out of 100. An interview hire verdict is expressed out of 10. They are not interchangeable and must not be read as one another.
- A Career Readiness Score can go down as well as up. Reassessment can lower it, and an uplift earned from verified learning can be reversed if a later check is not passed. This is intended behaviour, not a fault.
- Analytics for institutions are generated on a periodic basis. They are not real time and should not be relied on as though they were.
The platform is a decision support tool. It is not a substitute for professional careers advice, academic judgement, medical or psychological assessment, or any regulated advice.
Your work, your data, and the institution's data
The governing principle, which applies to every deployment:
Institutional data belongs to the institution. Student learning data and profile data belong to the student.
The dividing line is aggregation. Anything that only has meaning across a group of students, such as cohort views, departmental analytics and institution level scores, is the institution's. Anything about one student, including her own scores, her career paths, her learning history, her resumes and her interview records, is hers.
You keep ownership of what you upload and what you write. You grant us a licence to host, process, display and analyse it for the purpose of providing the platform to you and to your institution, and for no other purpose. That licence ends when the data is deleted under our Data Protection document.
You can take your profile with you. A student may export her profile from Career Launchpad and, at her own initiative, upload it to the consumer SkillDrift product to seed a new profile there. It is a handover and not a synchronisation: the two products have separate databases, the export carries her data only and nothing institutional, and the upload creates a new profile in a different product rather than transferring a score. It runs in one direction only, because there is no self signup on Career Launchpad.
Your institution can see your activity and results inside its own environment, in line with the permissions its staff hold, and can act on them. That is the point of an institutional deployment, and you should assume your institution can see what you do on the platform.
We do not sell personal data, and we do not use student content to advertise to anyone.
Artificial intelligence, and where it is kept out
Parts of the platform use artificial intelligence, including narrative in reports, career matching, gap analysis, learning plans, audio summaries, job fit explanations, interview simulation and coaching, and resume drafting.
Four commitments govern how it is used:
- Artificial intelligence is assistive and explainable. It does not make an autonomous decision about a high stakes outcome for any student.
- The Career Readiness Score is not generated by a language model. It is computed deterministically in our backend from measured components, it is reproducible, and the reason for any movement is derived from the change in those components rather than written by a model.
- Direct identifiers are removed before content is sent to a model provider, and model providers are contractually prohibited from using that content to train their own models.
- Where the platform generates an institution level interpretation, the model receives aggregated information and no student data.
Generated content can be wrong. Read it before you rely on it, and never send a generated resume, cover letter or answer to an employer without checking it yourself.
If your institution makes a decision about you that you believe was based on a platform output and that significantly affects you, raise it with your institution first. You also have the rights set out in our Privacy Policy.
Voice and interview sessions
Some parts of the platform involve spoken answers, including voice questions in the assessment and voice and live interview practice.
You are told before a session is recorded.
Audio is discarded once it has been processed. What is kept is the transcript and the coaching report produced from it. Institutional staff can see that transcript and report where their permissions allow. Nobody can play back your voice, because the audio is not retained.
Do not record any other person, and do not include anyone else's voice in a session.
Our intellectual property
The platform, the website, our software, our question banks, our rubrics, our report structures, our scoring methodology and calibration, our documentation, the SkillDrift name and the SkillDrift Career Launchpad name and marks are ours or our licensors' and stay that way.
Nothing in these Terms transfers any of it to you or to your institution. You get a limited, revocable, non exclusive, non transferable right to use the platform while your access lasts, for its intended purpose.
Our scoring calibration is confidential and is not published. We will walk an institution's reviewers through it under a confidentiality agreement during procurement. Attempting to derive it from platform outputs is a breach of section 8.
Feedback you give us about the platform may be used freely, without obligation to you, and does not transfer any right in your own content.
Third party services
The platform can connect to systems your institution chooses, such as its identity provider, its learning management system, its student information system and its placement system, and it draws labour market information from external sources.
Those systems are operated by their providers, not by us. We are not responsible for their content, availability or terms, and where your institution directs us to connect to one, your institution is responsible for having the right to do so.
External links on our website are provided for convenience and are not endorsements.
Pilots, trials and evaluations
Where we make the platform available for a pilot or evaluation, the following apply in addition to the rest of these Terms:
- The pilot runs for the period and with the cohort size set out in writing when it is agreed.
- The pilot is provided as it stands, without any service level commitment and without any warranty.
- We accept no liability of any kind in connection with a pilot, save for liability that applicable law does not permit to be excluded. Section 21 sets out the limits that apply generally.
- We may change or withdraw pilot functionality on notice.
- Either party may end a pilot on written notice, and data handling on the end of a pilot follows our Data Protection document exactly as it would at the end of a paid deployment.
- Nothing in a pilot commits either party to a paid agreement.
Fees
Where the institution pays, fees, currency, billing period, invoicing and payment terms are set out in the order form. Fees are exclusive of taxes unless the order form says otherwise, and taxes are the institution's responsibility where they apply.
Individual users are never charged for Career Launchpad. If anyone asks you to pay for access to your institution's environment, it is not us.
Availability, support and changes to the platform
We work to keep the platform available and secure. Where an institution has a service level commitment, it is in its order form. Otherwise the platform is provided without an availability commitment.
We may carry out maintenance, and will give reasonable notice of planned maintenance that we expect to interrupt service.
We improve the platform continuously. We may add, change or remove features. We will not make a change that materially reduces the core functionality an institution is paying for during its current term without giving the institution notice and a reasonable opportunity to discuss it.
Suspension and termination
An institution can suspend or remove any user in its own environment at any time, for its own reasons. We do not adjudicate that.
We may suspend access, in whole or in part, where we reasonably believe it is necessary to protect the platform, its users or a third party, including where there is a security risk, unlawful activity, a serious breach of section 8 or non payment by the institution. Where we can, we will tell the institution first, and where we cannot, we will tell it as soon as we reasonably can.
When an institution's agreement ends, access for its users ends. What happens to data at that point is set out in our Data Protection document, and it does not depend on the reason the agreement ended.
Sections 8, 10, 13, 19, 20, 21, 22, 25 and 27 survive termination.
Confidentiality
Each party may receive information from the other that is marked confidential or that a reasonable person would treat as confidential, including, in our case, our scoring methodology and calibration and any pricing shared during procurement, and in the institution's case its student data, its analytics and its internal plans.
Each party will use the other's confidential information only for the purpose of the agreement, protect it with at least reasonable care, and disclose it only to people who need it and who are bound by equivalent obligations. Information already public, independently developed, or lawfully received from a third party is not caught. Where disclosure is required by law, the disclosing party will give notice where it is lawfully able to.
Disclaimers
To the fullest extent permitted by law, and except where an institution's agreement says otherwise, the platform and the website are provided as they are and as available.
We disclaim all implied warranties, including merchantability, fitness for a particular purpose, accuracy and non infringement. We do not warrant that the platform will be uninterrupted or error free, that any output will be accurate or complete, or that use of the platform will produce any particular result.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, for fraud, or for anything else that applicable law does not permit to be limited. Consumers keep every right their local law gives them.
Limitation of liability
To the fullest extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential or punitive loss, or for lost profits, lost revenue, lost data other than as covered by the Data Protection document, lost goodwill, or a lost employment or placement opportunity, whether or not the loss was foreseeable.
- Our total aggregate liability arising out of or in connection with the platform, in any twelve month period, is limited to the fees paid or payable by the institution for the platform in the twelve months before the event giving rise to the claim. This limit applies to every kind of claim, including a claim arising from a personal data breach.
- Where no fees have been paid, including during a free pilot or evaluation, we accept no liability.
- The limits in this section do not apply to a party's breach of its confidentiality obligations, to infringement of the other party's intellectual property, or to a party's indemnity obligations, and they do not exclude liability that applicable law does not permit to be excluded.
Indemnity
The institution will defend and indemnify us against third party claims arising from its own unlawful use of the platform, from data it or its users upload that it had no right to upload, and from its instructions to us that breach applicable law.
We will defend and indemnify the institution against a third party claim that the platform as supplied by us infringes that party's intellectual property rights, provided the institution tells us promptly, lets us conduct the defence and gives reasonable assistance. This does not apply where the claim arises from the institution's own content, from a modification we did not make, or from use of the platform contrary to these Terms.
Export control and sanctions
You confirm that you are not located in, and are not acting on behalf of anyone located in, a country or territory subject to comprehensive trade sanctions applicable to us, and that you are not on any applicable restricted party list. You will not use the platform in breach of applicable export control or sanctions law.
Changes to these Terms
We may update these Terms. Where a change is material, we will give notice, either on this page or to the institution, before it takes effect.
For institutions, a material change to these Terms during a current term does not apply to that institution until the term renews, unless the change is required by law or the institution agrees to it earlier.
Continuing to use the platform after a change takes effect means you accept the updated Terms.
Previous versions of these Terms are available on request from legal@skilldrift.ai.
Governing law and disputes
These Terms and any dispute arising out of them are governed by the law of the State of Delaware and the federal law of the United States, without regard to conflict of laws rules.
The state and federal courts sitting in Delaware have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
Where an institution's own law requires its local courts or a specified arbitral seat, that requirement is dealt with in its order form and prevails over this section for that institution.
Nothing in this section deprives a consumer of the protection of the mandatory law of the country in which they live, or of the right to bring proceedings there.
